$150 Million! Syntiant Completes Acquisition of Knowles' Consumer MEMS Microphone Business

Embedded AI processor and sensor designer Syntiant has completed the acquisition of Knowles' consumer MEMS microphone business. This $150 million transaction marks the final step in the restructuring announced by Knowles in September 2023. The division generated $256 million in revenue in 2023.

Embedded AI processor

Syntiant develops hardware and software for edge AI deployment, and this acquisition signals its entry into the AI audio module market. Over 50 million dedicated AI processors and hardware-agnostic models are being deployed globally, supporting edge AI applications in voice, audio, sensors, and vision for various consumer and industrial use cases, from headphones to automotive.

Syntiant stated that integrating SiSonic MEMS sensors into its existing hardware and software capabilities will provide a complete edge AI audio solution, simplifying product development and accelerating time-to-market while maintaining scalability, security, and customization for a wide range of applications.

Syntiant CEO Kurt Busch said, "With the acquisition of Knowles' CMM business, Syntiant secures a leadership position in the fast-growing, multi-billion-dollar MEMS microphone market while delivering new solutions that combine cutting-edge sensors, processors, and high-performance machine learning models to redefine the future of AI-enabled audio and voice interfaces."

"As large language models continue to transform industries by enabling advanced natural language understanding and automation, we are accelerating the development of next-generation solutions for autonomous vehicles, smart home devices, industrial automation, and more. This acquisition also brings valuable talent and global customer relationships to Syntiant, further strengthening our ability to innovate and expand globally."

The acquisition was financed by a consortium led by Khazanah Nasional Berhad and Boardman Bay Capital Management. Boardman Bay provided equity financing, while Structural Capital arranged debt financing.

"Shifts in the global supply chain and growing demand for chips driven by emerging technologies like artificial intelligence create significant opportunities for Malaysia to advance in the semiconductor and advanced manufacturing value chain," said Dato' Amirul Feisal Wan Zahir, Managing Director of Khazanah Nasional Berhad.

"Khazanah is committed to supporting Syntiant's vision for the development of Malaysia's semiconductor ecosystem, and this acquisition aligns with our goal of fostering technological progress and driving economic growth in the region."

"We see this acquisition as a pivotal moment, enabling Syntiant to deliver unmatched innovation in smart voice and audio solutions," said Will Graves, Chief Investment Officer of Boardman Bay Capital Management. “Kurt and his team are true visionaries. Our financial commitment reflects Boardman Bay's deep confidence in their ability to shape the future of edge AI."

"Syntiant's dedication to innovation perfectly aligns with our mission to empower transformative companies," said Kai Tse, Chief Investment Officer of Structural Capital. "We believe this transaction will accelerate Syntiant's growth and amplify its market impact while enhancing its ability to deliver transformative solutions across a broad range of industries."
